Homeowners associations obtain their powers and duties from their governing documents. Typically, an HOA will be governed by a declaration of covenants, conditions, and restrictions (CC&Rs) that will dictate the formation of an HOA as a non-profit corporation. The HOA will operate according to a set of bylaws and through an elected board of directors. The board may pass resolutions and enact rules for the enforcement of CC&Rs.

Modification of CC&Rs

In some cases, there is a quorum rule, which means that a certain percentage of the association members must vote to alter the CC&Rs.
